Scope and contracting party
These Terms apply to contracts between Rückergruppe, proprietor Magnus Rücker (“Contractor”), and its customers for prototyping, product, electronics, embedded, firmware and IoT development, CAD and enclosure design, 3D scanning, reverse engineering, 3D printing, laser processing, prototypes, custom parts and small-series production. Individual agreements and the relevant quotation take precedence.
Quotation and development scope
A contract is concluded by acceptance of a quotation, order confirmation or commencement at the customer’s request. The quotation defines objectives, phases, deliverables, quantities, iterations, deadlines and remuneration. Unless expressly guaranteed, effort, material consumption and completion dates are planning estimates.
Feasibility and iterative development
Development and prototyping are exploratory processes. Technical feasibility, dimensions, materials, radio range, energy consumption, surface quality, strength and manufacturing costs may change as knowledge is gained. A specific series-ready or approval-ready result is owed only where expressly agreed. Changes outside the agreed scope are additional services.
Customer cooperation and approvals
The customer must provide requirements, samples, original parts, data, intended use, operating conditions and approvals in a timely and complete manner. Decisions and interim approvals are binding for subsequent work. Delays or rework caused by missing, incorrect or subsequently changed information may be charged separately.
Electronics, firmware and third-party components
Component selection is based on the agreed requirements and availability at the time of development. Changes in supply, manufacturer specifications, radio networks, cloud services, libraries or third-party interfaces may require adaptations. Source code, production files, credentials and development environments are delivered only where expressly agreed.
3D scans, additive manufacturing and tolerances
Scan, CAD, print and laser results may deviate from originals or nominal dimensions due to measurement access, surface properties, material behaviour and manufacturing processes. Visible layers, support marks, colour deviations and minor surface variations are process-related unless a specific quality level is agreed. Original parts supplied for scanning or testing are handled carefully but may be exposed to agreed measurement and fitting procedures.
Testing, validation and intended use
Prototypes and samples must be tested by the customer under the intended operating conditions. Use in safety-critical, medical, food-contact, road-traffic, high-temperature or similarly regulated applications requires an express agreement. Unless commissioned, the Contractor does not perform certification, conformity assessment, CE evaluation or regulatory approval.
Customer data, materials and rights
The customer warrants that supplied models, drawings, software, samples, trademarks and instructions may lawfully be used and are suitable for the intended purpose. The customer is responsible for the content and specifications supplied and indemnifies the Contractor against justified third-party claims caused by them.
Prices, deadlines and project interruption
Agreed prices apply. Additional iterations, changed requirements, special procurement and unforeseen technical work are charged as agreed. Deadlines are binding only if expressly confirmed. They are extended appropriately where cooperation is delayed, components are unavailable or circumstances outside the Contractor’s control interfere. Work completed and costs incurred remain payable if a project is paused or cancelled.
Acceptance, defects and retention of title
Where acceptance is required, statutory rules apply. The Contractor is initially entitled to supplementary performance for defects. Development results are not defective merely because an alternative design would also have been possible or a prototype requires agreed iteration. Goods remain the Contractor’s property until paid for in full.
Rights, confidentiality and references
Following full payment, the customer receives the rights of use specified in the quotation. Rights in pre-existing tools, libraries, templates, methods and general know-how remain with the Contractor or their respective owners. Confidential information is used only for the project. Customer projects are published as references only with permission or in a form that does not disclose confidential details.
Liability, consumers and applicable law
Liability is unlimited for intent, gross negligence, injury to life, body or health, product liability and assumed guarantees. For slightly negligent breach of an essential obligation, liability is limited to foreseeable damage typical for the contract. Consumers may have statutory withdrawal rights and receive separate information where required. German law applies; mandatory consumer protection remains unaffected.
